RALEIGH, N.C. – Martin Marietta Materials has completed its approximately $13.5 billion combination with Lhoist North America, expanding the building-materials company’s lime and limestone business and adding operations tied to steel, infrastructure, heavy nonresidential construction and environmental markets.
Martin Marietta said the transaction closed Aug. 21 and announced the completion Aug. 24. Lhoist North America produces high-calcium lime, dolomitic lime and industrial mineral products.
The transaction terms disclosed when the deal was announced and in Martin Marietta’s SEC filings called for approximately $13.5 billion of consideration. That included $7 billion in cash, subject to customary adjustments, and 10,953,543 newly issued Martin Marietta shares valued at approximately $6.5 billion based on the specified June trading-price calculation.
Martin Marietta said the combined limestone position includes more than 2 billion tons of high-quality reserves and establishes the company as the nation’s leading producer of limestone products. The company said the transaction expands its Specialties platform and increases exposure to infrastructure and industrial end markets.
Martin Marietta did not issue updated full-year financial guidance with the closing. The company said it plans to provide updated 2026 revenue and adjusted EBITDA guidance when it reports third-quarter results.
Martin Marietta is headquartered in Raleigh and is one of North Carolina’s largest publicly traded companies. Following the combination, the company said its operations span 29 states, Canada and the Bahamas.
